Turning Crisis into Strategy: Contracts, projects and disputes at a global chokepoint
Robert DiNardo
Partner Corporate & Finance
With extensive experience in derivatives and structured finance, Robert counsels clients on a wide array of transactions, including interest rate and currency hedging—such as deal-contingent hedging transactions linked to M&A, project finance, reinsurance and restructuring transactions—as well as capital relief trades, risk syndication transactions, credit default swaps (including tranched portfolio CDS), total return swaps, and other funded and unfunded derivative instruments. He regularly acts as deal counsel for both sell-side and buy-side clients, structuring and documenting transactions that address complex regulatory, bankruptcy, tax and capital considerations.
Robert also has substantial experience in repo financing, risk retention financing, secured and unsecured credit facilities, synthetic securitizations, credit-linked notes, and other credit-risk transfer products. His deep understanding of these markets enables him to craft bespoke financing structures that optimize risk allocation, regulatory capital efficiency, and liquidity management. Robert is part of the Capital Relief Trade (CRT) team which the Financial Times recently awarded with its highest “standout” honor for its 2024 Innovative Lawyers North American awards, and Structured Credit Investor named Cadwalader as a finalist for its 2023 and 2024 Capital Relief Trades Awards Law Firm of the Year awards.
Robert earned his J.D. from Fordham University School of Law, his M.B.A. from Fordham University Graduate School of Business, and his B.S. from Fordham University.
