As co-chair of the Capital Markets Group, Michael Gambro advises clients on commercial mortgage-backed securities and the financing, trading, and securitization of financial and other cash-flowing assets.

His work spans the full range of CMBS structures and capital markets transactions, supporting issuers, underwriters, and market participants across both traditional and innovative securitization formats. Michael brings particular depth in the structural and regulatory dimensions of CMBS and structured finance markets.

Since the 1980s, Michael has represented various issuers, commercial banks and investment banks, and worked with the Securities and Exchange Commission and other regulatory bodies, in the creation and development of novel securitization structures and disclosure protocols for various asset classes that are now industry standards.

Representative experience

Advised various investment banks in the development and evolution of Freddie Mac's multifamily loan securitization program.
Advised Bank of America and JPMorgan Chase in the financing and securitization of One Bryant Park, the first CMBS financing structured as senior taxable CMBS and subordinate municipal bonds.
Advised Morgan Stanley and Goldman Sachs in Freddie Mac's award-winning K-F73 multifamily loan securitization, the first SOFR-indexed CMBS offering.
Advised JPMorgan Chase in the financing and securitization of 7 World Trade Center, the first CMBS financing structured as senior municipal bonds and subordinate CMBS.
Advised various banks in the creation of what has become the CMBS industry standard template for credit risk retention agreements with third-party purchasers.
