Turning Crisis into Strategy: Contracts, projects and disputes at a global chokepoint
Kate M. Foreman
Partner Corporate & Finance
Kate has played an integral role in a number of first-of-their-kind transactions including the establishment of a master trust floater program that has inspired the development of similar products by other CMBS market participants. Kate played a critical role in designing and executing the first EU risk retention-compliant deals, as well as the subsequent implementation of corresponding reporting programs, and she continues to advise non-U.S. securitizers in connection with both EU risk retention-compliant and noncompliant transactions.
Kate is a leader of the Capital Markets Group’s regulatory services that ensure that CMBS transactions meet the increasingly complex frameworks and requirements of the Securities and Exchange Commission. Notably, Kate oversees the Form 10-K filing work done each year for all of Cadwalader’s CMBS clients. Her detailed and deep understanding of SEC rules and regulations related to Exchange Act reporting, coupled with her project management and legal technology acumen, makes Kate the go-to partner to coordinate with clients and third-party service providers to successfully deliver over 325 Form 10-K filings annually.
Kate is deeply involved in Cadwalader’s technological work and developed automation and workflow tools that dramatically improved the efficiency and responsiveness of Cadwalader’s regulatory practice. Her contributions to technological innovation have resulted in both recognition for her own work – Kate was an inaugural honoree for CREFC’s “20 Under 40” future commercial real estate finance leaders in 2022 – as well as the firm receiving a Financial Times “Innovative Lawyer” award for its 1792 Accelerator legal technology initiative that same year.
Kate frequently speaks and writes on CMBS and related topics to clients and broader industry participants via bespoke client CLE offerings, conference appearances and in various firm thought leadership outlets, including Cadwalader’s financial regulation and real estate finance newsletters.
Kate earned her J.D. from University of Chicago Law School and her B.A. from Northwestern University.
