Our global investment funds team represents sponsors and managers (‘GPs’) in the structuring and formation of all types of funds: infrastructure, real estate, energy, private equity, venture capital, private credit, and other private investment funds.

We understand the complex tax and other regulatory requirements affecting the fund formation process. We are also very comfortable advising on what the market expects the commercial terms to be. We handle all manner of complex issues, ranging from marketing issues arising under the EU AIFMD to the ever-changing tax legislation in multiple jurisdictions.

We structure solutions for GPs raising money from LPs facing specific legal concerns, such as ERISA investors, pension plans and other tax-exempt investors, high-net-worth individuals, personal investment companies, and family offices.

We advise GPs concerning common fund issues such as structuring carried interest, funding management fees, allocation of expenses, timing and priority of distributions, conflicts of interest, GP removal, indemnification, and investor default. We have deep experience with all fund formation documents and represent GPs in ongoing fund operations.

Our team’s extensive international reach means we can provide you with experience in both developed and developing markets on all forms of fund structures. This includes limited partnerships, master feeder structures, onshore and offshore funds, parallel funds, and co-investment funds.
