Hogan Lovells advises Organigram on the acquisition of Sanity Group
Led by Munich-based partner Dr. Nikolas Zirngibl and senior associate Dr. Dominik Lang, global law firm Hogan Lovells has advised Canadian Organigram Global Inc., a leading licensed producer of cannabis, on the acquisition of Berlin-based cannabis producer Sanity Group GmbH.
The initial purchase price is paid in cash and in Organigram shares. Additionally, a performance-based earn-out component has been agreed upon. The acquisition will be financed through a combination of existing cash resources, a new credit facility, and an equity investment by British American Tobacco Group.
The closing of the transaction is subject to customary regulatory clearances, including a foreign direct investment filing with the The Federal Ministry for Economic Affairs and Energy.
Organigram is a leading publicly listed company specializing in the development, production and distribution of cannabis and cannabis-based products for the regulated consumer and medical markets. The company operates several locations in Canada and pursues an international growth strategy.
The Sanity Group, founded in 2018, is a leading cannabis company in Germany. The group manages its own brands and business divisions for medical cannabis, pharmaceutical research, medical devices, digital applications, as well as consumer goods (cosmetics, wellbeing, lifestyle). It is involved in scientifically supported pilot projects and aims to expand into relevant European markets.
The acquisition brings together two market leaders in the largest regulated cannabis markets and creates a strong platform for further growth and innovation.
